Associate General Counsel/Director of Legal
We are looking to add a key member to round out our small (you will be the 6th person) Gigamon legal team, reporting directly to our General Counsel. We’re looking for an experienced (5 – 10 years), practical commercial lawyer who has strong experience structuring, drafting, reviewing and negotiating a broad range of complex commercial agreements, including technology partnerships, customer agreements, collaborations, development, OEM, manufacturing and supply agreements. You will work with cross-functional teams to develop SaaS, software and support billing models and terms and the like. This is a sophisticated, senior individual contributor role: you will be able (and encouraged!) to mentor and help teach others on the team; however, our team is small, and the org is flat.
Hard working, team player who enjoys a fast-paced environment. Our legal team is supportive and gets the job done. We work closely together. You need to be comfortable working directly and collaboratively with internal clients and external counter-parties. Because we are a small team providing legal work for hundreds of employees, you have to be willing to roll up your sleeves to help your team members, even if it’s outside your immediate job responsibility. Because we are a small team supporting a growing company, we work longer hours than some big company legal departments.
A combination of “project ownership” mentality, roll up your sleeves “can do” attitude, and the ability to work collaboratively and take input. The Gigamon legal department is not siloed from the business functions, and we believe that good legal advice requires a deep understanding of our business and operational issues. We work on a range of issues without the support infrastructure that in-house counsel at large companies often enjoy. Intellectual curiosity and good peripheral vision are important. If you prefer taking a back seat or working on one specific thing, you won’t be happy in this position. You must be able to juggle and prioritize appropriately. We work collaboratively, and so you must welcome feedback and enjoy the give and take with colleagues.
Experience with technology. Our solutions are technical – a combination of hardware, on prem software and SaaS software. If you have a background in engineering or computer science, that is a plus. At a minimum you need to be interested in learning about our technology and business.
Sense of humor. We take our work very seriously but try not to take ourselves too seriously.
Did we mention drafting? We are doing a lot of interesting work in product development and business model changes. We are doing important technology partnerships with big players. Our customers are some of the largest Fortune 500 enterprise and telecom companies in the world. So we are often not working off our form documents. We are looking for someone with strong legal drafting skills who can work with third party paper or a clean sheet of paper to draft well-written, practical, solution-oriented terms.
Ambitious….in a good way. This position is a good launching pad for someone who wants to be a General Counsel of a private company in 5 years. Not that we want you to leave Gigamon (!), but we are training sophisticated licensing lawyers to develop the breadth and practical business-orientation needed to manage the legal function of a growing company. That said, as stated above, this is an individual contributor role – you will not be managing a team, but you will be working collaboratively with colleagues on deals.
- JD with membership in at least one state bar
- 5 -10 years of relevant commercial experience either in a technology company or at a top law firm (with at least 4 years at a top law firm)

- Right now we are all working from home. We don’t know when we will be returning en masse to our office in Santa Clara, but our first choice is for a Bay Area candidate who lives within commuting distance of our Santa Clara, CA headquarters.
