Associate General Counsel Job Summary:
The primary purpose of this job is to assume responsibility for providing legal support to one of the Company’s Product Categories. The position will provide hands-on counsel to their respective Product Category on a wide range of issues including contracts, litigation, real estate, mergers & acquisitions and intellectual property among others. The position will also counsel company leaders on a variety of business law issues. In addition to supporting a Product Category, this role will be a member of the Legal Leadership Team in providing leadership to the legal department.
Accountabilities & Responsibilities:
• Adheres to Integer Values and all safety, environmental, security and quality requirements including, but not limited to: Quality Management Systems (QMS), Safety, Environmental and Security Management Systems, U.S. Food and Drug Administration (FDA) regulations, company policies and operating procedures, and other regulatory requirements.
• Provides in-house legal counsel on a variety of commercial and operational issues, which may include, but is not limited to, reviewing, drafting and negotiating customer and supplier contracts, joint development agreements, licensing agreements and non-disclosure agreements for a broad client base including operations, sales, marketing, supply chain and engineering.
• Provides practical, real-world business-oriented advice to business partners.
• Ensures compliance with all applicable laws, regulations and policies.
• Identifies and assesses legal risks and opportunities within the commercial and operational area of a specific Product Category and advises accordingly.
• Participates in and influences the decision-making process with appropriate executive clients and stakeholders.
• Drafts key documents and presents clear recommendations to top management.
• Independently handles legal matters and projects ranging from basic to complex.
• Collaborates with other internal legal centers of expertise (Labor & Employment, Securities & Corporate Governance, Mergers & Acquisitions and Intellectual Property) as needed to address legal matters for internal clients.
• Elevates certain matters to the attention of the General Counsel or other legal centers of expertise as applicable.
• Supervises, manages, and evaluates outside counsel if outside counsel engagement is required.
• Establishes and maintains relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues.
• Performs other duties and functions as required.
Education & Experience:
Minimum Education: Juris Doctorate (JD) from an accredited School of Law
Minimum Experience:
o Licensed and a member in good standing with a State bar.
o Must have a minimum of five years of substantial experience with a corporate legal department
and preferably at least three years with a nationally recognized law firm.
o Experience interacting at a senior level with business management.
o Experience counseling clients on commercial matters in medical device manufacturing preferred.
o Knowledge of international law a plus.
