Corporate Counsel, Commercial Contracts will lead the negotiation, drafting and management of the companys commercial contracts, purchase orders, and supply contracts, as well as various other company related legal matters. This role is an integral part of the legal team and reports to Senior Vice President, Associate General Counsel.
Essential Job Duties and Responsibilities
Review, markup/draft, negotiate and close commercial contracts, including master services agreements, statements of work, purchase orders, material supplier contracts, non-disclosure agreements, software licenses, data privacy agreements, and supporting documents across the companys business units.
Provide prompt, practical, business-oriented legal/commercial contract advice directly to internal business clients.
Support internal business clients in negotiating price, deliverables, services scope, warranty and other commercial contract terms.
Serve as point of contact for cross functional internal clients for contractual matters, including responding to process and status questions.
Manage contract workflow, from intake to obtaining signatures and provide contract lifecycle support to internal clients.
Continuously improve the efficiency and effectiveness of legal contract support within the company while maintaining the quality and consistency of contracts across the organization.
Collaborate with and facilitate cross-team decision-making among the legal team, finance
team, business teams and other internal teams.
Manage assigned projects to completion.
Assist senior attorneys and management in higher level matters, as needed.
Provide support in a wide range of in-house legal services on an as-needed basis
Education and/or Experience
J.D. degree from an accredited law school required.
Licensed to practice law in a US state or DC.
2-3 years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred.
Excellent verbal and written communication skills.
Experience in handling regulatory matters, including GLB, DPPA, and FCRA is a plus.
Experience with legal/commercial terms relevant to SaaS contracts, (e. g., subscription terms, intellectual property matters, limitation of liability, privacy and security) a plus.
Analytical and research skills required.
Experience negotiating commercial contracts and other experience demonstrating ability to handle and close commercial and legal negotiations.
Experience working in a fast-paced, fluid and collegial corporate culture.
Demonstrated success working in a high-performing, business results-driven environment is a must.
Ability to draft and close commercial agreements with minimal support from senior staff.
Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely.
Must maintain professional appearance.
Ability to be at work on a regular and consistent basis; Overtime may be required for this position.
