We are looking for a highly motivated, experienced individual to provide legal support for our corporate governance, securities and M&A matters. The successful candidate will be very detail-oriented and able to prioritize and manage competing priorities. This position will report to VP - Associate General Counsel and Corporate Secretary and will interact with directors and senior executive officers. Responsibilities include: • Assisting with SEC filings (including Section 16 reporting, proxy statements, Forms 8-K, 10-Q and 10-K); • Board/committee meeting preparation and materials; • Supporting M&A transactions (including providing due diligence support, data room management, assisting with antitrust filings, and preparing and organizing deal documents); • Organizing annual stockholder activities; • Supporting corporate finance transactions (including providing due diligence support, data room management, and assisting with filings); and • Managing schedules for project deliverables and filings. Experience & Skills: • Bachelor's degree required; • 4+ years of public company corporate paralegal experience required; • Combined top-tier law firm and public company in-house experience a plus; • Excellent communication skills, both written and verbal, and strong customer service approach; • Team player who works well under pressure and manages responsibilities confidently as unexpected issues arise; • Excellent judgment, strong attention to detail, and exceptional organizational skills; • Advanced proficiency with MS Office (Word, Excel, PowerPoint); and • Experience working with Workiva and Diligent Boards a plus.
