Position: A high-growth, family-owned North Carolina company is seeking a General Counsel (GC) to work with top management and oversee all aspects of the company�s legal operations.
Company: The Company is a North Carolina-based internet marketing and product brokerage company operating in ten countries with annual sales in the range of $500 million. It is primarily owned by the founder and his family.
The Company�s legal work falls generally into three categories:
1. General day-to-day company legal operations, e.g. contracts, HR, regulatory and international compliance, Unauthorized sellers, Internet and Distributor compliance, IP, litigation, general tax, etc.
2. Legal issues relating to the Overlap between Company and the owners, including matter such as corporate structure, real estate, tax issues, etc.
3. Special projects and major Company initiatives, including issues relating to compliance, expansion, growth, tax strategies, risk management, etc.
The Company currently has a legal department staffed by five lawyers and several paralegals that handle most legal issues, often with the assistance of outside counsel. In other instances, Company management has directly engaged outside counsel and other consultants to handle certain legal matters.
Structure of the Position:
While the details would be expected to be worked out with the person taking the GC position, it is the current expectation that General legal matters would continue to be handled by the Company legal department with the exception of matters which escalate to a more problematic status. In addition, the GC would be expected to provide overall leadership to the in-house lawyers.
The principal role of the GC will be to manage the legal matters outlined above, and to provide oversight and judgment with respect to those critical matters.
The GC should have significant experience and a deep level of knowledge with the legal issues that the Company regularly deals with. Equally importantly, however, the GC should have a range of contacts across a wide-spectrum of legal issues that can be brought to bear and managed in the context of a cohesive team. In addition, the GC should have skills that demonstrate the ability to manage such projects from beginning to end and to achieve timely results. Finally, the GC should be able to provide thoughtful leadership and judgment during crises.
Because of the nature of the Company and the complexity of its business and structure, the GC will need to obtain quickly a complete knowledge of the Company, in order to be able to do the job effectively. In every circumstance, the GC will need to understand how the Company does its business, how it makes profits, and the �why� of how the Company approaches its business decisions.
Company management is seeking a leader with a positive and energetic attitude who is able to guide the Company through a host of current and future legal items in a way that recognizes risks and hurdles, but ultimately finds ways to get things done within the law and with an appropriate and well-understood level of risk.
