|Legal Specialist will provide legal assistance to the in-house legal director of an educational non-profit organization. This role will help assist the legal director in all aspects of corporate, compliance, contract matters, and all other matters litigated or non-litigated, including but not limited to the following: contract drafting and review, drafting policies and procedures, contract database, corporate compliance and corporate governance matters, legal research and managing the operations of the office.|
| POSITION QUALIFICATIONS: |
o B.A., B.S., or AD degree
o 2 years of experience in a law firm, school district, university, or corporate law department as an officially designated legal assistant, paralegal and/or legal specialist OR a combination of education and experience that demonstrates the applicant has acquired the knowledge and abilities listed for the position
o Paralegal certification (preferred)
o Notary license (preferred).
| DUTIES AND RESPONSIBILITIES: |
o Management of documentation review in accordance with current legal practices, systems and processes
o Review, interpretation and authentication of a variety of legal documents
o Performance of detailed validation of data elements on legal documentation
o Identification and resolution of data or content discrepancies through utilization of internal and external resources in a timely manner
o Adherence to complex process requirements and directions
o Coordinates and assists in preparing responses to requests for document production in litigation, in response to subpoenas, and public information requests.
o Prepare minutes and other routine corporate secretary documents, keep accurate minute books.
o Prepare routine documents, agreements and instruments.
o Handle information request to and from other company personnel.
o Act as initial contact with clients on matters and gather information.
o Conduct necessary legal and/or business research and provide timely and relevant information and respond to legal inquiries.
o Manage the legal review process consulting with appropriate supervisor as necessary.
o Draft form documents and templates, make recommendations regarding standardized and best practices to facilitate processes, procedures and policies.
o Respond to routine legal inquiries and draft routine correspondence.
o Perform other duties as assigned.
| SKILLS AND ABILITIES: |
o Knowledge of general corporate and business laws
o Strong Computer Skills, including proficiency with Microsoft Office products
o Superior writing skills including the ability to effectively draft legal documents
o Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues
o Ability to confidently and effectively communicate with co-workers, management, outside counsel, board members
o Highly organized with a strong sense of priority, urgency, and commitment to deadlines
o Ability to handle confidential information with the highest degree of professional responsibility
o Ability to multi-task; reliable; team player; attention to detail.
WORK ENVIRONMENT AND PHYSICAL REQUIREMENTS:
o Light Work: may require occasional light lifting.
o Nights and weekend activities will be occasionally required.
o Position is in office setting and may involve prolonged work at a desk in one location.
Role/ Salary Band 5
Dallas/ Fort Worth and Central Office - Houston
Salary minimum: $50, 000 Salary maximum: $70,000
Austin, El Paso, and San Antonio Districts: $2,000 less
